This Non-Disclosure and Non-Circumvention Agreement ("Agreement") is entered into between the individual registering as a Model ("Model") and Your Beauty ("Platform") upon account creation.
Confidential Information includes, without limitation: contact details of Scouts, Fashion Houses, and Brands encountered through the Platform; the terms of any offer, negotiation, or contract routed through the Platform; and any internal Platform materials shared with the Model.
The Model agrees not to contact, negotiate with, or enter into any paid or unpaid arrangement with any Scout, Fashion House, Brand, or other party introduced through the Platform outside of the Platform, for the duration of this Agreement and for 12 months following any introduction made through a Viewing Room.
All communication between the Model and any party discovered through the Platform must occur through Your Beauty's messaging and contracting tools. The Model will not exchange personal contact information for the purpose of circumventing the Platform.
The Model acknowledges that any agreement signed through the Platform is subject to a 70/30 split, with 70% payable to the Model and 30% retained by the Platform as a brokerage and administration fee.
This Agreement remains in effect for as long as the Model holds an active or inactive Platform account, and survives account closure with respect to Confidential Information already received.
Breach of the non-circumvention obligations may result in suspension of the Model's account, forfeiture of pending payouts related to the breach, and pursuit of damages equal to the fees the Platform would have earned had the transaction been completed through the Platform.
